        POSSIBLE ACQUISITION OF CHAPMAN HENDYASSOCIATES


HACAS Group PLC ("HACAS" or "the Group") announces that it  is
in  advanced negotiations to acquire Chapman Hendy  Associates
("Chapman  Hendy")  - a national local authority  and  housing
association consulting company.

It  is  proposed  that  HACAS  Consulting  and  Chapman  Hendy
Associates  will  combine to form HACAS Chapman  Hendy.   Both
companies  are enjoying growing demand for their services  and
the  combined organisation will have over 100 Consultants  and
Associate  Consultants and 20 support staff.  It  is  proposed
that  Peter  Chapman will join the board of HACAS  Group  PLC.
The  other Group operating companies will be unaffected by the
proposed acquisition.
