Exercise of options and Result of AGM

Ensor Holdings PLC (the "Company") announces that 10,000 new ordinary shares of
10p each (the "New Ordinary Shares") have been issued and allotted following an
exercise of share options, at an option price of 13.5p per share.  Application
has been made for the New Ordinary Shares to be admitted to trading on AIM, and
admission is expected to become effective on 2 August 2004.

The Company also announces that at the Annual General Meeting of the Company
today all the proposed resolutions were duly passed.
