Transfer to the Alternative Investment Market

The Chairman of the Company is today writing to shareholders stating the
following:



As suggested in my Chairman's Statement in the Report and Accounts for the year
ended 31 March 2000, in order to facilitate possible strategic growth by
acquisitions, your Directors have considered the possibility of transferring
trading in the Company's ordinary shares from the London Stock Exchange's main
market for listed securities to its Alternative Investment Market ("AIM").  This
market is designed specifically for the smaller public company and is more
appropriate, efficient and cost effective for conducting and progressing our
business.



A transfer to AIM would result in the simplification of administration and
reporting requirements, with a consequential reduction in the costs associated
with being a public company and should help to keep down the costs associated
with making further capital transactions.  This flexibility, together with the
increasing profile of AIM have led us to decide to make the transfer as soon as
possible.



We are therefore proposing to make the application shortly for all of the
Company's issued share capital to be admitted to trading on AIM and it is
anticipated that dealings will commence on 2 May 2002 and that the Company's
Official Listing will be cancelled on the same day.



The Company has appointed Brown, Shipley & Co. Limited to act as its Nominated
Adviser and Broker.



As a shareholder, you should be aware that shares listed on AIM, for certain
areas of taxation, are deemed to be unlisted and this may be of benefit to you.
You should, however, consult your independent financial adviser regarding this.



When the transfer is completed, the Company will, of course, remain subject to
the regulatory and disciplinary controls of the London Stock Exchange.
