RESULTS OF GENERAL MEETING

In accordance with the provisions of E.2.2 of the UK Corporate Governance Code (the "Governance Code"), the Company advises that for the General Meeting held on 18 November 2014 valid proxy appointments were made in respect of 31,100,766 voting shares, being 73.26% of the total voting shares of the Company in issue, and voting was as follows:

IT WAS RESOLVED to receive the Annual Financial Report for the period ended 31 March 2014. (27,200,766 votes cast in favour, 4,500,000 against and none withheld.)

IT WAS RESOLVED to appoint Deloitte LLP as Auditor to the Company, to hold office from the conclusion of this meeting until the conclusion of the next general meeting to be held in 2015 under section 199 of The Companies (Guernsey) Law, 2008, as amended, and to authorise the Directors to determine their remuneration. (31,700,766 votes cast in favour, none against and none withheld.)

IT WAS RESOLVED to re-elect as a director Mr Charles Wilkinson, who retires in accordance with the provisions of the Company's Articles of Incorporation and the UK Code of Corporate Governance. (31,114,066 votes cast in favour, none against and 586,700 withheld.)

IT WAS RESOLVED to re-elect as a director Mr Norbert Bannon, who retires in accordance with the provisions of the Company's Articles of Incorporation and the UK Code of Corporate Governance. (31,114,066 votes cast in favour, none against and 586,700 withheld.)

IT WAS RESOLVED to re-elect as a director Mr Geoffrey Hall, who retires in accordance with the provisions of the Company's Articles of Incorporation and the UK Code of Corporate Governance. (31,114,066 votes cast in favour, none against and 586,700 withheld.)

IT WAS RESOLVED to re-elect as a director Mr John Le Prevost, who retires in accordance with the provisions of the Company's Articles of Incorporation and the UK Code of Corporate Governance. (30,485,900 votes cast in favour, 628,166 against and 586,700 withheld.

In accordance with the provisions of E.2.1 of the Governance Code it should be noted that a vote withheld is not a vote in law and will not be counted in the calculation of the proportion of the votes for and against each resolution.
