DIRECTORS' INTERESTS IN SHARES

On 23 October 2002 Lord Harris sold 100,000 Carpetright plc shares to Harris 
Ventures Limited at #6.60 per share. This transfer does not affect Lord Harris' 
declared beneficial interest.

In addition, 100,000 shares held by a Harris family trust, and previously 
included within Martin Harris' beneficial interest, have been sold to Harris 
Ventures Ltd at #6.60 per share. Accordingly, these shares now form part of 
Lord Harris' beneficial interest.

Lord Harris' and Martin Harris' revised beneficial interests are 13,720,607 and 
1,384,063 respectively. In aggregate, the Harris family's notifiable interest 
remains unchanged.
