INTERESTS IN SHARES

On 12 May 2006, 850 shares were allocated at #13.25 under the Company's All
Employee Share Ownership Plan which total included 9 shares for each of
Lord Harris, Mr J Kitching and Mr C Sollesse and Mr M Harris.

Also included in the purchase were 9 shares purchased for Mrs Caroline Sollesse.
Shares purchased for Mrs Sollesse form part of Mr Sollesse's beneficial
interest, below.

The beneficial shareholdings for these directors are now:

Lord Harris                  16,016,974              23.62%
M Harris                        873,182               1.29%
J Kitching                      671,000               0.99%
C Sollesse                       27,530               0.04%

AESOP shares were also purchased for Persons Discharging Managerial
Responsibilities, as follows:

T Moore                                                            10 shares
S Davies, E Mangham, J May, G Moloney, K Nicholson, J Still   11 shares each
P Lorimer                                                           8 shares
C Sawyer                                                            5 shares
P Dregent                                                           4 shares

The Company has been advised that, following changes of Trustee to various
Harris family trusts, Lord Harris' non-beneficial interest as Trustee has
reduced to 140,014 shares (0.2%).

Ms A Palmer and Mr E O'Keefe now have a non-beneficial interest as Trustee in
respect of 2,623,000 shares, 3.86% of the issued share capital, of which 2.58%
is a shared interest with Mr A R Bull. Mr Bull's total non-beneficial interest
in shares as Trustee is now 4.47% (3,036,500 shares). Additionally, the shares
held jointly as trustees by Mr A R Bull, Mr C J Downs, Mr J D Stockwell and Sir
Hugh Sykes now represent less than 3% of the issued share capital.
