DIRECTORS'/PDMR INTERESTS IN SHARES

On 13 December 2005 we were advised that on 12 December shares had been
allocated at #9.98 under the Company's All Employee Share Ownership Plan
including 13 shares for each of Lord Harris and Mr C Sollesse, 12 shares for
Mr M Harris and 27 shares for Mr J Kitching.

Also included in the AESOP purchase were 13 shares purchased for Mrs Caroline
Sollesse. Separately, on 13 December, Mrs Sollesse purchased 10,000 Carpetright
shares at #9.99 each. Shares purchased for Mrs Sollesse form part of 
Mr Sollesse's beneficial interest, below.

The beneficial shareholdings for these directors are now:

Lord Harris       16,016,891               (23.62%)
M Harris             856,459                (1.26%)
J Kitching           670,903                (0.99%)
C Sollesse            27,396                (0.04%)

AESOP shares were also purchased for Persons Discharging Managerial
Responsibilities, as follows:

T Moore and K Nicholson                         12 shares each
P Lorimer                                            10 shares
C Sawyer                                              8 shares
P Dregent                                             5 shares
