 Recommended offer by Corporate Synergy Plc on behalf of the Creative Education
    Corporation Plc ("Creative") for Academy Childcare Group Plc ("Academy")

Corporate Synergy Plc on behalf of Creative announces that as at 3pm yesterday,
14 December 2004, valid acceptances of the recommended offer, made on 2 December
2004, to acquire the entire issued share capital of Academy not already held by
Creative ("the Offer") have been received in respect of, in aggregate,
11,900,000 Academy Shares, representing approximately 27.25 per cent. of the
existing issued share capital of Academy.  Creative already own approximately
29.2 per cent. of the issued share capital of Academy. Accordingly acceptances
have been received in respect of 56.45 per cent of the existing share capital of
Academy.

Creative is therefore pleased to announce that the offer is hereby declared
unconditional as to acceptances and will remain open for acceptances until
further notice.

The Offer will remain open for acceptances until 3.00pm 6 January 2005 at the
earliest in accordance with the terms of the Offer and rule 31.4 of the City
Code on Takeovers and Mergers.

Academy Shareholders who have not yet accepted the Offer, and wish to do so, are
urged to complete and return their forms with acceptances as soon as possible.
The Offer and acceptances under it remain on the terms and subject to the
conditions set out in the Offer document.
