               Notification of dealings by Directors
                                                                  
Birse Group plc ("Birse") has today received notifications under
sections 198 - 202 and 324 of the Companies Act 1995 that Peter
Birse, the Company's Chairman and founder, has today settled
4,000,000 ordinary shares of 10p each in Birse into each of three
trusts.  Peter Watson, John Elders and Martin Budden, each
directors of Birse, along with their immediate families and a
charitable trust are beneficiaries under each of the relevant
trusts.  The disposal by Peter Birse of an aggregate of 12,000,000
ordinary shares of 10p each reduces his beneficial holding to
27,215,685 ordinary shares representing 14.1% of the issued
ordinary share capital of Birse and increases the interest of
Messrs Watson, Elders and Budden to 4,000,000 ordinary shares each
representing 2.1% of the issued ordinary share capital of Birse.
Peter Birse has no plans to reduce his holding any further.
