Notification of Directors' Interests

The following announcement and notification is made in accordance with Article 19 of the EU Market Abuse Regulation.

1 Simon Pryce, Group Chief Executive, received a conditional share award on 17 March 2014 under the Company's 2006 Deferred Bonus Plan. The forfeiture provision attached to the conditional share award lifted on 17 March 2017.

53,312 conditional award shares, being the number of shares net of applicable tax, were released at nil cost to Mr Pryce today in accordance with the Plan Rules.

2 Simon Pryce received a conditional share award on 17 March 2014 under the Company's 2006 Long-Term Incentive Plan. The performance condition attaching to this conditional share award was recently tested and 23.3% of the award vested today.

58,552 conditional award shares, being the number of shares net of applicable tax, were released at nil cost to Mr Pryce today in accordance with the Plan Rules.

Mr Pryce's total beneficial holding including those of his connection persons before this notification was 1,000,308 shares, and as a result of the transactions set out above is 1,112,172 shares.
