Result of AGM

and

Cancellation of admission of Ordinary Shares to trading on AIM

Argo Group Limited announces that at today's Annual General Meeting all resolutions proposed to Shareholders, including the Cancellation Resolution to approve the cancellation of trading of the Company's Ordinary Shares on AIM, were duly passed.

Following the passing of the Cancellation Resolution, pursuant to Rule 41 of the AIM Rules, upon the approval of not less than 75 per cent. of the votes cast by Shareholders (whether present in person or by proxy) at the Annual General Meeting, the Company will now proceed with the Tender Offer and Cancellation of trading of Ordinary Shares on AIM which is expected to take effect at 7.00 a.m. on 19 February 2025.

The Tender Offer, full details of which are set out in the Company's circular to Shareholders dated 16 January 2025 (the "Circular"), will remain open to Eligible Shareholders until 1.00 p.m. on 14 February 2025.
