AMENDED FINAL TERMS

Abbey National Treasury Services plc (the "Issuer")

This notice relates to the following securities (the "Securities") issued by the Issuer on 21 December, 2009 under its EUR2,000,000,000 Structured Note Programme base prospectus dated 26 March, 2009 (the "Base Prospectus"):

This Announcement is related to the Final Terms dated 18 December, 2009 in respect of the Securities (the "Original Final Terms").

Announcement is hereby given that the Original Final Terms shall be amended as of 28 May, 2012 as follows:

   (a)        Replacing the reference to "2014" in the title of the Notes with a reference to "2016";

(b) Replacing the reference to Maturity Date "19 December, 2014" in paragraph 9 with a reference to "21 December, 2016";

   (c)        The deletion of the following wording from paragraph 20.1(a):

"EUR3,000.00 per Calculation Amount"

and its replacement with:

"EUR2,500.00 per Calculation Amount";

   (d)        The insertion of the following wording to the table in paragraph 20.1:

(e) Replacing the reference to "Barrier Level" in paragraphs 27.1(a) and 27.1(b) with a reference to "Redemption Barrier Level";

   (f)         The insertion of the following wording to paragraph 27.1:

""Redemption Barrier Level" means an amount determined by the Calculation Agent in accordance with the following formula:

50.00 per cent. * Share(Initial) "; and

(g) Replacing the reference to Final Valuation Date "12 December, 2014" in paragraph 27.6(f) with a reference to "14 December, 2016".

The Issuer has filed an amendment to the Original Final Terms dated 18 December, 2009 (the "Amended Final Terms") reflecting these amendments. The Amended Final Terms shall replace the Original Final Terms. To view the Amended Final Terms, please click on the link below.
