Item 3.02 – Unregistered Sales of Equity Securities

 

On September 22, 2015 the Company issued 7,440,476 shares of common stock to Rocwall Capital, LLC on a partial conversion of a convertible note in the value of $5,000.00 ($0.00067 / share).

 

This issuance of shares was exempt under Section 4(a)(2) of the Securities Act.  

 

Item 10. Directors, Executives Officers and Corporate Governance

 

On September 23, 2015 Mr. Joseph Giamichael tendered his resignation as a member of the Company’s Board of Directors. During the 7 months that Mr. Giamichael served on the Board there were no disagreements or conflicts with the Company or other Board Members.

  

As of September 25, 2015, there are 328,464,232 common shares issued and outstanding.
