Item 7.01.     Regulation FD Disclosure.

On November 13, 2009, the 134 th  District Court of Dallas County, Texas granted approval of the Second Stipulation and Order Setting and Regarding an Annual Meeting of Stockholders (the “ Stipulation ”) for CLST Holdings, Inc. (the “ Company ”).  The Stipulation provides that the Company must hold its annual stockholders’ meeting on December 15, 2009 (“ Annual Meeting ”), and that the record date for the Annual Meeting must be set as October 30, 2009.  In accordance with the Stipulation, the Company will hold its Annual Meeting on December 15, 2009 and the record date for the Annual Meeting is October 30, 2009.  The Stipulation is furnished herewith as Exhibit 99.1.
