Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 25, 2010, Christopher D. Phillips resigned from his position as a member of the board of directors of The Amacore Group, Inc. (the “Company”). There were no disagreements or dispute between Mr. Phillips and the Company which led to his resignation. His resignation was effective immediately.
