On July 11, 2022, Pershing Square Tontine Holdings, Ltd. (the
“Company”) issued a press release announcing it will redeem all of
its outstanding shares of Class A common stock, effective as
of July 26, 2022, because the Company will not consummate an
initial business combination within the time period required by its
Second Amended and Restated Certificate of Incorporation. A copy of
the press release and a letter to stockholders from the Chief
Executive Officer of the Company are attached hereto as Exhibit
99.1 and 99.2, respectively, and are incorporated herein by
reference.
