Item 5.05 Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

On November 28, 2022, the Board of Directors (the “Board”) of CIRCOR International, Inc. (the “Company”) approved and adopted a new Code of Conduct and Business Ethics (the “New Code”). The New Code applies to all employees, officers, directors, consultants, and contractors of the Company and its subsidiaries.

The New Code replaces the Company’s previous Code of Conduct and Business Ethics (the “Prior Code”) in its entirety and incorporates current industry and public company best practices. The adoption of the New Code of Conduct did not relate to or result in any explicit or implicit waiver of any provision of the Prior Code. The New Code became effective upon approval by the Board.

The New Code is filed as Exhibit 14.1 hereto and is hereby incorporated by reference into this Item 5.05.
