Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On April 8, 2020, the Board of Directors of Anthem, Inc. (the “Company”) amended the Company’s Bylaws (as so amended, the “Bylaws”), effective immediately, to allow the Company to conduct meetings of its shareholders by means of remote communication. The foregoing description of the amendments to the Bylaws is qualified by reference to the full text of the Bylaws, a copy of which is filed herewith as Exhibit 3.1 and incorporated herein by reference.
