Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 17, 2024, the Board of Directors (the “Board”) of Virpax Pharmaceuticals, Inc. (the “Company”) appointed Mr. Jaydriane (Jay) Panis to the Board to fill the vacancy created by the resignation of Mr. Gary Herman. Mr. Panis is a Certified Financial Planner (CFP) with more than 20 years of experience in the financial services industry. He is the founder of his own financial planning practice and serves as a director at a prominent Canadian financial planning firm based in British Columbia. Mr. Panis holds diplomas in Financial Management and Business Management and has a strong track record of helping clients achieve their financial goals through effective planning and leadership.

There are no arrangements or understandings between Mr. Panis and any other person pursuant to which he was selected as a director. Additionally, there are no transactions involving Mr. Panis that would require disclosure under Item 404(a) of Regulation S-K.

The Board believes that Mr. Panis’s expertise and leadership experience in financial management will provide valuable strategic insights to the Company.
