Item 2.02 Results of Operations and Financial Condition.

 

On August 8, 2022, VBI Vaccines Inc. (the “Company”) issued a press release announcing its financial results for the second fiscal quarter ending June 30, 2022 and provided a corporate update. A copy of this press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.

 

The Company’s press release, furnished as Exhibit 99.1 hereto, contains a non-GAAP financial measure. Pursuant to the requirements of Regulation G, the Company has provided within the press release quantitative reconciliations of the non-GAAP financial measure to the most directly comparable GAAP financial measure. These Non-GAAP financial measures are used in addition to and in conjunction with results presented in accordance with GAAP and should not be relied upon to the exclusion of GAAP financial measures.
