Finkelstein Thompson LLP Announces Investigation of Quest Software, Inc.

Finkelstein Thompson LLP is investigating potential claims on behalf of shareholders of Quest Software, Inc. Quest’s stock traded above the offer price as recently as July 2011. The Company’s shares increased 29.1% in value between September 2011 and the date of the merger announcement. Indeed at least two analysts have set target prices in excess of the offer price, as high as $29.00 per share.

In addition to the questionable consideration, Quest Chairman and CEO Vincent Smith, who owns approximately 29% of the Company’s shares, will receive special treatment in the deal. Instead of being extinguished, Smith’s shares will roll over into an equity stake in the surviving company, which Smith will continue to lead.

The investigation focuses on the potential unfairness of the consideration to Quest’s shareholders, the process by which the Company’s Board of Directors considered the transaction, and potential conflicts of interests among Quest’s Board members.
