Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 16, 2020, Simone C. Walsh, Controller and Principal Accounting Officer of PRGX Global, Inc. (the “Company”), informed the Company that she will be resigning from the Company effective as of the close of business on September 22, 2020 to pursue another opportunity. Kurt Abkemeier, the Company’s Executive Vice President, Chief Financial Officer and Treasurer, has been appointed by the Company’s Board of Directors to the additional roles of Controller and Principal Accounting Officer effective as of Ms. Walsh’s resignation.
