Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 23, 2025, Sam Wadsworth, Ph.D., notified Precision BioSciences, Inc. (the “Company”) of his intention to retire from service on company boards and resigned from the Company’s Board of Directors. Dr. Wadsworth's resignation is not the result of any disagreement with the Company related to the Company’s operations, policies, or practices.
