Item 1.01

Entry into a Material Definitive Agreement.

On December 12, 2008, Micronetics, Inc. entered into an amendment to its credit facility with RBS Citizens National Association, successor by merger to Citizens Bank New Hampshire. The amendment extended the term of the revolving line of credit by two years. The new expiration date of the revolving line of credit is March 30, 2012.

A copy of the amendment is attached as Exhibit 10.1 to this Current Report on Form 8-K. The foregoing description of the amendment does not purport to be complete and is qualified in its entirety by reference to the full text of such amendment, which is incorporated herein by reference to the exhibits attached hereto.
