The Registrant is unable to file its
Form 10-Q for the quarterly period ended March 31, 2023 within the prescribed time period without unreasonable effort or expense because
additional time is needed to finalize the financial statements to be included in such report. The Registrant anticipates that it will
file its Form 10-Q within the five-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

For the three months ended March 31,
2022, we had a net income of approximately $4.1 million, which consisted of a non-operating gain of approximately $4.3 million resulting
from the change in the fair value of derivative assets and liabilities and approximately $21,000 of net gain on the investments held in
trust account, partially offset by approximately $193,000 general and administrative expenses.
For the three months ended March 31,
2023, we had net income of approximately $610,000, which consisted of approximately $1.4 million of income from investments held in trust
account, partially offset by a non-operating loss of approximately $241,000 resulting from the change in fair value of derivative assets
and liabilities and approximately $589,000 general and administrative expenses.
The amounts reported above are still
under review by the Registrant’s independent registered public accounting firm and may differ once reported in the Form 10-Q to
be filed by the Registrant.
