I want to update you on a recent development. As you may have seen, today we announced that we received an unsolicited proposal from Staples, Inc. to acquire
all shares of Essendant stock for $11.50 per share in cash.
I want to be clear that we did not seek this proposal. However, as a public company, our
Board has a fiduciary duty to shareholders to formally evaluate any proposal of this nature. As the Board and its outside advisors evaluate the Staples proposal, it is important to note that the proposal may not result in a transaction with Staples.
The merger agreement to combine Essendant with S.P. Richards remains in place, and the Board has not changed its recommendation that Essendants
stockholders vote in favor of that transaction.
While the Board and its advisors work through this process, there will be absolutely no changes to our
day-to-day
operations or responsibilities, and we must continue to execute on our long-term targets and focus on Essendants three strategic drivers. It is critical that
each and every one of us remain focused on providing excellent service to our customers and suppliers, and driving Essendant forward.
