As disclosed in our Current Report on Form 8-K filed with the Securities and Exchange Commission on May 4, 2009, John Mutch, a member of our Board of Directors and a nominee for re-election at the upcoming Annual Meeting of Stockholders to be held on June 10, 2009, has informed the Company that he is resigning from the Board of Directors due to contractual arrangements in connection with his recent appointment as chief executive officer of Symark International which preclude his continued service as a member of the Company’s Board of Directors.

We do not intend to nominate any other person to fill the vacancy created by Mr. Mutch’s departure at the current time.
