Item 8.01 Other Events.

On December 11, 2023 Agenus Inc. announced the second development milestone under its global licensing agreement with Bristol Myers Squibb was achieved with the dosing of the first patient in the phase 2 dose expansion portion of the ongoing CA115-001 clinical trial of BMS-986442. The required $25 million payment was received January 30, 2024.
