Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 17, 2024, Randee E. Day informed Eagle Bulk Shipping Inc. (the “Company”) of her decision to resign as a member of the Board of Directors (the “Board”) of the Company, effective January 18, 2024. At the time of Ms. Day’s resignation, she was the Chair of the Compensation Committee of the Board and a member of the Audit Committee of the Board. Ms. Day did not resign due to any disagreement with the Company on any matter relating to its operations, policies or practices.
