Item 2.02. Results of Operations and Financial Condition

On January 16, 2024, Loop Industries, Inc. (the “Company”) issued a press release announcing its financial results for the third quarter of fiscal year ending February 29, 2024. A copy of the Company’s press release is attached hereto as Exhibit 99.1.

Item 7.01 Regulation FD Disclosure.

On January 16, 2024, the Company issued a press release announcing that the Company signed a non-binding Memorandum of Understanding (“MOU”) with Reed, a European investment firm focused on high impact and technology-enabled infrastructure. A copy of the press release is being furnished as Exhibit 99.2 and is incorporated herein by reference.
