Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 31, 2023, Basanite, Inc. (the “Company”) entered into an engagement letter with Thomas Richmond to join our Company as acting Interim Chief Executive Officer and as an independent contractor until December 31, 2023. As the engagement letter has not been extended by the Company, Mr. Richmond’s services with Basanite have terminated and he is no longer affiliated with the Company.

As of this filing the Company has elected to begin a candidate search for a new Chief Executive Officer and President.
