Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective December 12, 2024, LAU Ping Kee resigned from his position as Director of King Resources, Inc. (the “Company”). In connection therewith, Mr. Lau also resigned from all his positions on the Audit and Compensation Committees of the Company. The departure of Mr. Lau from his position as Director was for personal reasons and not due to any disagreement with the Company on any matter related to the Company’s operations, policies or practices.
