Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 6, 2023, Rajeev V. Date, a member of the Board of Directors (the “Board”) of Green Dot Corporation (the “Company”) and a member of the Nominating and Corporate Governance Committee and Risk Committee notified the Board that he was resigning from the Board effective December 31, 2023. Mr. Date’s resignation was not the result of any disagreement with the Company on any matters relating to the Company’s operations, policies or practices.
