Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 5, 2023, Joel S. Marcus notified Frequency Therapeutics, Inc. (the “Company”) of his resignation from the Company’s Board of Directors (the “Board”) and all committees of the Board on which he served, which was immediately effective. Mr. Marcus’ resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
