ACQUISITION OF MCD CAREW ASSOCIATES



White Young Green Plc (WYG) the Engineering and Environmental Consultant is
pleased to announce the acquisition of MCD Consult Ltd (MCD).



MCD trading as Carew Associates, are civil and structural consulting engineers
based in Dublin.  This is the fourth acquisition by WYG in Ireland in the last
18 months and reflects the importance of the Irish market to WYG.



The audited accounts for the year to 30th September 2000 show a profit before
tax of IR#286,805 on a turnover of IR#1,036,341.  Net assets at that date were
IR#421,809.



The initial consideration for the acquisition of the share capital of MCD is
IR#876,000 and is to be satisfied by a cash payment of IR#276,000 together
with the issue of 236,473 shares in WYG.  In addition cash consideration up to
a maximum of IR#550,000 shall be payable reflecting the level of net assets in
MCD at completion.  Further cash consideration up to a maximum of IR#200,000
shall be paid dependent on the performance of MCD in its first year of trading
within WYG.



The acquisition of MCD introduces to WYG skills that are complementary to the
existing WYG services available to clients in the Republic of Ireland together
with a new client base in both public and private sectors.  MCD have a strong
reputation in the markets in which they operate and have secured several
prestigious contracts recently that have created a forward workload in excess
of IR#2.5m.



The Directors and staff of MCD all become employees of WYG Ireland Limited.



Application will be made to the United Kingdom Listing Authority ("UKLA") for
the consideration shares to be admitted to the official list of the UKLA and
to the London Stock Exchange for admission for trading on its market for
listed securities and it is anticipated that dealings will commence on Monday
24 September, 2001.
