EGM RE PROPOSED NEW SHARE OPTION SCHEMES

Further to the circular sent to all shareholders on 20 October 2005 and
following the Extraordinary General Meeting held today Total Systems plc is
pleased to announce that both ordinary resolutions proposed at this
Extraordinary General Meeting concerning the approval of an "Enterprise
Management Incentive Plan" and an "Unapproved Share Option Scheme" received
shareholder approval.
