RECOMMED CASH ACQUISITION
of
TARSUS GROUP PLC
by
TIGER ACQUISITIONS UK LIMITED
(a wholly-owned indirect subsidiary of funds advised by
Charterhouse Capital Partners LLP)
to be effected by means of a scheme of arrangement under Article
125 of the Companies (Jersey) Law 1991, as amended
Scheme sanctioned by the Court
Tarsus Group plc ("Tarsus" or the "Company") and Tiger
Acquisitions UK Limited ("Bidco") are pleased to announce that the
Court has today sanctioned the scheme of arrangement under Article
125 of the Companies (Jersey) Law 1991 (as amended) by which the
recommended cash acquisition of Tarsus by Bidco, a wholly-owned
indirect subsidiary of Charterhouse Capital Partners LLP
("Charterhouse"), is being implemented (the "Scheme").
The Scheme Record Time will be 6:00 p.m. on 13 August 2019. A
request has been made for the suspension of the trading in Tarsus
Shares on the London Stock Exchange's Main Market and the listing
of Tarsus Shares on the Official List of the UK Listing Authority,
with effect from 7:30 a.m. on 14 August 2019. The last day of
dealings in Tarsus Shares will therefore be 13 August 2019 and,
once suspended, it is not expected that dealing will
recommence.
The Scheme will become effective upon the Court Order being
delivered to the Registrar of Companies, which is expected to take
place on 14 August 2019.
Admission to trading of the Tarsus Shares on the London Stock
Exchange's Main Market and the listing of Tarsus Shares on the
Official List of the UK Listing Authority is expected to be
cancelled with effect from 8:00 a.m. on 15 August 2019.
A further announcement will be made when the Scheme has become
Effective.
If any of the expected times and/or dates change, the revised
times and/or dates will be notified to Tarsus Shareholders by
announcement through a Regulatory Information Service.
Capitalised terms used but not defined in this announcement have
the meanings set out in the circular relating to the Scheme sent to
Tarsus Shareholders dated 17 June 2019.

Notice to Tarsus Shareholders in the US
The Acquisition relates to shares in a Jersey company and is
proposed to be made by means of a scheme of arrangement under
Jersey law. US holders of Tarsus Shares should note that the Scheme
relates to the shares of a Jersey company that is a "foreign
private issuer" as defined under Rule 3b-4 under the US Exchange
Act and will be governed by Jersey law. Accordingly, neither the
proxy solicitation rules nor the tender offer rules under the US
Exchange Act will apply to the Scheme. Moreover, the Scheme will be
subject to the disclosure requirements and practices applicable in
