BOARD APPOINTMENT

The Company announces that Hugh Etheridge will join the Board as a Non-Executive Director with effect from 1 June 2011. He will become a member of the Audit Committee as Chairman and a member of the Remuneration and Nominations Committees.

Hugh (age 60), is currently the Senior Independent Non-Executive Director of Ashtead Group PLC. Most recently he was Chief Finance Officer at WRAP (The Waste & Resources Action Programme). Previously he was Finance Director of The Waste Recycling Group PLC and, for 10 years, Finance Director of Matthew Clark PLC. He is a chartered accountant and a member of the Association of Corporate Treasurers.

Phillip Nuttall, a Non-Executive Director at Sinclair since 2005 is leaving the board on May 31st.

Commenting on the changes, Bill Simpson, Chairman, said: "These changes are part of our continued review of the structure and expertise of the Board. We are indebted to Phillip for his hard work and significant contribution in his 6 years with the Company and we wish him well in his future endeavors. There is an exciting future ahead for William Sinclair and Hugh brings valuable and relevant experience to the Board and we very much look forward to working with him".
