Merger update - review of undertakings 
The OFT is currently reviewing the following undertakings given under the Fair 
Trading Act 1973, which were signed on 1 August 1989 and varied on 6 August 
1999.  The undertakings were given to address public interest concerns arising 
in respect of a particular merger situation: 
Undertakings given by the General Electric Company plc, Siemens AG and GEC 
Siemens plc pursuant to Section 88 of the Fair Trading Act 1973 following the 
Monopolies and Mergers Commission report on the proposed acquisition by GEC 
Siemens plc of the Plessey Company 
Siemens AG (Siemens), by reason of a change of circumstances, is seeking a full 
release from the 'C' Undertakings, which required Siemens to satisfy United 
Kingdom national security requirements as to the ownership and management of 
defence, research and development and semiconductor activities arising from the 
1989 merger.  The change in circumstances is a result of the proposed sale by 
Siemens of its interest in Roke Manor Research Ltd, the sole remaining business 
owned by Siemens covered by these undertakings. Following the review, the OFT 
will advise the Secretary of State for Business, Innovation and Skills on 
whether there has been a relevant change of circumstances such that the 
undertakings can be removed, varied, or superseded. 
Before reaching any final decision, interested parties are invited to give their 
views to the OFT.
