                           VHE HOLDINGS PLC ("VHE")

                          RESPONSE TO POSSIBLE OFFER

The Board of VHE has noted the announcement today by Montpellier Group plc
relating to a potential offer to acquire VHE.

The Board of VHE, which is being advised by ING Barings Limited, will issue a
further statement once the potential offeror has classified its intentions.

In the meantime shareholders are strongly advised to take no action.
