Performance Share Plan and rolled-over Awards
Pursuant to the Scheme of Arrangement dated 4 September 2007, and the approvals
given at the Court Hearing and the Extra Ordinary General Meeting held on 28
September 2007, Luminar Group Holdings plc (the 'Company') has now adopted the
Luminar Group Holdings 2007 Performance Share Plan (the 'Plan').
It is the Company's intention that the Plan will promote share ownership and
drive employee retention and engagement. Steps have been taken to increase
employee participation to a wider level than ever before with awards ('PSP
Awards') being made to all senior employees, covering a range from Plc directors
to General Managers.
This notification is made in accordance with DTR 3.1.4(1)(a).
On 9 November 2007, the following PSP Awards over ordinary shares in the Company
were made under the Plan to Directors of the Company and other Persons
Discharging Managerial Responsibility ("PDMRs"):

No consideration was paid for the grant of a PSP Award which is structured as a
conditional award.
The vesting of a PSP Award is ordinarily subject to continued employment of the
participant and the satisfaction of performance conditions set by the
Remuneration Committee of the Company. A PSP Award will normally vest on or
around 1st August 2010 subject to the satisfaction of the performance
conditions.
The Company was informed of the above transactions relating to PSP Awards on 9
November 2007.
Certain PDMRs have validly elected to exchange their original awards and options
over Luminar plc ordinary shares for equivalent awards and options ("Rolled Over
Awards") over ordinary shares in the Company in connection with the recent
corporate reorganisation of the Luminar group.
On 9 November 2007, the following Rolled Over Awards were granted to PDMRs under
the following Luminar plc share plans:

The Rolled Over Awards were granted on equivalent terms to the original options
and awards that they replaced and are capable of vesting or exercise (as
applicable) on the same terms as those original options and awards save that
Rolled Over Awards granted under the 1996 Executive Share Option Scheme and the
1999 Company Share Option Plan are not subject to any performance conditions (as
disclosed in the Shareholder Circular relating to the recent corporate
reorganisation of the Luminar group).
The Company was informed of the above transactions relating to Rolled Over
Awards on 9 November 2007.
