DIRECTOR'S SHARE GIFT
---------------------

On 16th March 1998 H C Virgin, a director of the Company, gifted 300,000
ordinary shares of 20p each ("Ordinary Shares") in the Company, representing
approximately 1.77 per cent. of the issued share capital of the Company, to a
charitable trust which H C Virgin and A W C Gooch are trustees.  Following
this gift A W C Gooch and H C Virgin have the following interests in the
issued ordinary share capital of the Company.

The number of Ordinary Shares attributed above to A W C Gooch and H C Virgin
include holdings of 2,999,880 Ordinary Shares which are owned by the
Gooch/Virgin Discretionary Trust, in which neither has a beneficial interest
and 300,000 Ordinary Shares which are owned by the charitable trust mentioned
above in which neither has a beneficial interest.
