     Essentially Group Limited ("Essentially" or the "Company") 
 
                       Director Shareholdings 
 
Essentially, the AIM listed full  service sports marketing and  media 
group, announces that further to  the re-negotiation of the  deferred 
consideration  liability,  as  announced   today  in  the   Company's 
preliminary results, the Company has applied for 28,583,334  Ordinary 
Shares in the Company of 0.1p each ("Ordinary Shares") to be admitted 
to AIM. Admission is expected to take place on 2 July 2009. 
 
As part of the deferred  earn out payments, certain directors,  being 
Bart Campbell, Tim Berg and Matt Vandrau, received Ordinary Shares in 
the Company at a price of 6p each, and now hold the following:

Transparency Rules, Essentially Group Limited's issued share capital 
consists of 225,675,535 Ordinary Shares with voting rights. No 
ordinary shares are held in Treasury. 
 
The above figure of  225,675,535 may be used  by shareholders as  the 
denominator for the calculations by which they will determine if they 
are required  to notify  their  interest in,  or  a change  to  their 
interest in, Essentially Group Limited under the FSA's Disclosure and 
Transparency Rules.
