Eleco buys Downer, the specialist cladding support systems company

Eleco plc ("Eleco"), the building systems and software applications group,
announces the acquisition of the entire issued share capital of Downer Cladding
Systems Limited ("Downer") for a maximum consideration payable of £950,000 in
cash.

Downer, which was founded in 1988 by John Downer, supplies a comprehensive range
of proprietary and bought in support and fixing systems for rainscreen facade
cladding. It also provides technical support services to clients, assisting them
to identify support and fixing solutions for rainscreen facade cladding
projects.

Of the total consideration, £870,000 is being paid in cash on completion to the
vendors of Downer.  Additionally, up to £80,000 will become payable in cash on a
£1 for £1 basis to the extent that the audited profits after tax of Downer for
the year ending 30 June 2002 exceed £130,000.

Unaudited management accounts of Downer for the 9 months ended 31 March 2002
report profits before tax of £178,000 on turnover of £660,000 and net assets at
31 March 2002 were £674,000 including £504,000 in cash.  Downer has no bank
borrowings.  Audited accounts of Downer for the year ended 30 June 2001 showed
profits before tax of £176,000 on turnover of £934,000.
