In conformity with the FCA's Disclosure and Transparency Rules, Brightside Group plc ("Brightside" or the "Company") confirms the following:

As at the close of business on 31 January 2014 Brightside's issued share capital consisted of 501,901,509 ordinary shares of 1 pence each ("Ordinary Shares"). The Company holds no Ordinary Shares in treasury. The total number of current voting rights in the Company is therefore 501,901,509 Ordinary Shares.

The above figure (501,901,509 Ordinary Shares) may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FCA's Disclosure and Transparency Rules.
