                 QUALIFYING EMPLOYEE SHARE OWNERSHIP TRUST ("QUEST")

J R Fraser, J W Cumming, D J Hollywood (together the "Directors").

Notification of Director's Interests pursuant to section 324(2) of the Companies
Act 1985.

1. The Company became aware on 18 October 1999 that each of the Directors
   technically became interested on 18 October 1999 in 658 ordinary shares
   of 20 pence each in the Company by virtue of the QUEST being allotted 
   such shares and the Directors being potential beneficiaries under the
   QUEST.


2. The Company became aware on 18 October 1999 that each of the Directors
   technically ceased to be interested on 18 October 1999 in 658 ordinary
   shares of 20 pence each in the Company by virtue of the QUEST transferring
   such shares to employees of the Company.
