Background
This
Amendment provides the stamped Amended Articles for our name change
to “FOMO WORLDWIDE, INC.” as filed with the Secretary of State of
California in Exhibit 10.1 included herewith.
FOMO
CORP. is referred to herein as “FOMO”, the “Company”, “we”, or
“us”.
Item
5.03 Amendments to Articles of Incorporation or Bylaws; Change in
Fiscal Year.
On
September 23, 2022, we amended our Articles of Incorporation to
change our legal name to “FOMO WORLDWIDE, INC.” with the Secretary
of State of California. Due to a clerical error at the Franchise
Tax Board (“FTB”) of the State of California, we have filed to
revive our corporate entity in the state. Such action requires us
to file our 2021 state and federal taxes, which we are currently
undertaking. We expect to owe no monies to the federal government.
Our FTB annual fees were brought current in February
2022.
