Digitiliti Adopts Corporate Governance Guidelines and Charters

Digitiliti, Inc. (Pink Sheets: DIGI), a rapidly growing company
that provides market changing on-line data management solutions to
enterprise class businesses, recently adopted formal Corporate
Governance Guidelines at a Board of Directors meeting.
The primary function of the Board of Directors, per adopted
Guidelines, is to promote the best interests of the shareholders in
terms of corporate governance; fiduciary responsibilities;
compliance with applicable laws and regulations; and maintenance of
accounting, financial and other controls. The Directors oversee the
conduct of the Company�s business and approve the Company�s
financial objectives, major corporate plans, strategies and
tactics. In addition, the Board selects the Company�s Chief
Executive Officer (�CEO�) and evaluates the CEO�s performance. The
Directors also adopted Charters for the Corporate Governance and
Nomination Committee, the Audit and Finance Committee and the
Compensation Committee. The Charters delineate the principal
functions of the respective Committees. The Corporate Governance
and Nomination Committee is chaired by Roy A. Bauer. The Audit and
Finance Committee is chaired by Benno G. Sand. The Compensation
Committee is chaired by Jonathan S. Miner. Each Committee will
provide guidance for the benefit of shareholders and other
