Explanation of Responses:
( 1)  On April 12, 2012, the Issuer and Mr. Bulzak entered into a debt settlement agreement wherein Mr. Bulzak agreed to accept 80,000 shares of Common Stock of the Issuer at a purchase price of $0.25 per share, in lieu of a cash payment, as full payment of an outstanding debt owed to Mr. Bulzak in the amount of $20,000.
