Explanation of Responses:
(1) Mentone Ltd. is owned 34% by Peter Whitton, 33% Geoffrey Dixon and 33% by Karl Watkin, and therefore each of Messrs. Whitton, Dixon and Watkin are deemed to be the beneficial owners of the 6,000,000 shares of common stock owned of record by Mentone Ltd.
(2) Cell Science Holding Ltd., is the owner of 4 shares of Series A Preferred Stock. Cell Science is owned 40% by Inter-M Traders FZ LLE, 30% by the OZ Corporation and 30% by Mentone Ltd., all of whom are deemed to be the beneficial owners of the 4 shares of Series A Preferred Stock. Mentone Ltd. is owned 34% by Peter Whitton, 33% Geoffrey Dixon and 33% by Karl Watkin, and therefore each Mr. Whitton is deemed to be the beneficial owner of the 4 shares of Series A Preferred Stock.
